Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by dubTC LLC ("dubTC," "we," "us," or "our"), including but not limited to the Discord bot, web interfaces, APIs, and any associated tools (collectively, the "Services"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

dubTC provides software services for the UFC esports ecosystem, including competitor rating systems, event production tools, transcript analysis, historical record keeping, ranked matchmaking, and (subject to regulatory approval) payment processing infrastructure for viewer patronage donations to esports performers.

dubTC operates as a Stripe Connect platform. dubTC facilitates viewer patronage payments to esports performers based on their role in produced events. Distribution of donated funds follows pre-coded, mechanical payout structures defined at the event level; dubTC does not exercise editorial discretion over payouts.

3. User Accounts

Most Services are accessed through Discord. Your account is associated with your Discord User ID. You are responsible for maintaining the security of your Discord account and for all activity that occurs under your account on the Services.

You may not impersonate another person, misrepresent your identity, or use the Services on behalf of another person without their authorization.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Interfere with or disrupt the Services or servers
• Use automated means to access the Services in a manner not authorized by dubTC
• Manipulate ratings, rankings, or competitive outcomes through prohibited means
• Engage in match fixing, collusion, or other competitive integrity violations
• Harass, threaten, or abuse other users

dubTC reserves the right to suspend or terminate access to the Services for users who violate these terms.

5. Payments and Credits

dubTC's credit system is denominated in United States Dollars (USD) at penny precision. Credits represent prepaid software services or earned compensation processed via Stripe Connect.

Earned credits (originating from donation splits, prize pool distributions, or similar competitive earnings) are cashable to a recipient's linked bank account via Stripe Connect payout, subject to Stripe's identity verification and cash-out requirements.

Purchased credits (if and when offered) are non-cashable software-service credits that may be consumed on dubTC's services only.

dubTC does not enable peer-to-peer credit transfers between users.

6. Intellectual Property

dubTC retains all rights, title, and interest in the Services, including software, designs, ratings algorithms, and proprietary content. You may not copy, modify, distribute, sell, or lease any part of the Services without dubTC's written permission.

User-generated content (event reports, profile information, content posted in connected Discord communities) remains owned by the user. By submitting such content, you grant dubTC a license to use, display, and process it for the operation of the Services.

7. Third-Party Services

The Services rely on third-party providers including Discord, Supabase, Cloudflare, Stripe, and others. dubTC is not responsible for the actions, policies, or availability of these third parties. Use of the Services through Discord is also subject to Discord's Terms of Service.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

dubTC does not guarantee uninterrupted or error-free operation, or that any rating, ranking, or competitive outcome will be free from error. Ratings and statistics are approximations generated by algorithmic processes and may not reflect official rankings of any third party (including EA SPORTS or game publishers).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, dubTC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL dubTC's TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID dubTC FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless dubTC, its officers, directors, employees, and agents from any claim arising out of your use of the Services or violation of these Terms.

11. Termination

dubTC may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. You may stop using the Services at any time.

Upon termination, provisions of these Terms that by their nature should survive (including disclaimers, limitations of liability, and intellectual property provisions) shall remain in effect.

12. Changes to These Terms

dubTC may modify these Terms at any time. Material changes will be communicated via the Services or by other reasonable means. Continued use of the Services after a modification constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved in the state or federal courts located in Minnesota, and you consent to the jurisdiction of those courts.
